What happens if I act without authority or beyond it?
If the principal neither ratifies the transaction nor takes its benefit, you as agent (falsus procurator) are personally liable to the third party for their reliance loss, capped at their interest in the validity of the contract (ABGB § 1019). An agent who exceeds the limits of the authority is also liable for the consequences (ABGB § 1009).
Can the principal simply revoke the power of attorney?
Yes. The principal may revoke the power at any time at will. However, the principal must reimburse the agent for the costs incurred in the meantime, any damage suffered, and a proportionate part of the agreed fee (ABGB § 1020).
Is a general power of attorney enough for selling property or taking a loan?
No. Sales, onerous acquisitions, loans, collecting money, litigation, oaths and settlements require a special power of attorney (Sondervollmacht) that expressly names the category of transaction; a general or even unlimited power is not sufficient for these (ABGB § 1008).
Does a power of attorney have to be in writing?
No, not as a rule. The mandate contract can be concluded orally or in writing; written form is not a general validity requirement (Formfreiheit). The document issued about it is called the Vollmacht (ABGB § 1005).
What happens to the power of attorney if the principal dies?
As a rule the power is extinguished by the death of the principal or of the agent. Exception: if a started transaction cannot be interrupted without manifest harm to the heirs, or if the power expressly extends beyond death, the agent has the right and duty to complete it (ABGB § 1022).
